End User License Agreement

Effective: May 26, 2026

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Francis Family LLC ("Company", "we", "us") governing your use of any software application operated by the Company, including, without limitation, the Ready App Finance Manager (the "Application").

1. License Grant

Subject to the terms of this Agreement, the Company grants the User a limited, non-exclusive, non-transferable, revocable license to use the Application solely for the User's internal business purposes.

2. Restrictions

The User shall not (a) sublicense, sell, lease, or otherwise transfer the Application; (b) reverse engineer, decompile, or disassemble the Application; (c) use the Application to violate any applicable law or the rights of any third party; or (d) remove or alter any proprietary notices contained in the Application.

3. Data & Third-Party Services

The Application may connect to third-party services on the User's behalf, including but not limited to Intuit QuickBooks Online, Google Workspace, and similar platforms. The User is responsible for compliance with the terms of any such third-party services. Data accessed by the Application is processed solely for the purposes authorized by the User and is not shared with third parties except as required to provide the Application's functionality.

4. Ownership

The Application, including all intellectual property rights therein, is and shall remain the property of the Company. No rights are granted to the User other than as expressly set forth in this Agreement.

5. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the User's use of, or inability to use, the Application.

7. Termination

This Agreement remains in effect until terminated. The Company may terminate this Agreement at any time, with or without cause. Upon termination, the User must cease all use of the Application.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles.
